FALA CONNECT TERMS OF SERVICE

Welcome to FALA Connect, the online learning platform operated by the Florida Assisted Living Association ("FALA," "we," "us," or "our"). FALA Connect provides online courses, continuing education, professional development, training programs, practice examinations, and related educational resources for assisted living and adult family care home professionals.

These Terms of Service ("Terms") govern your access to and use of the FALA Connect website, online courses, educational materials, and related services (collectively, the "Services").

By creating an account, purchasing a course, enrolling in a course, or otherwise accessing or using FALA Connect, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility and User Accounts

You must provide accurate and complete information when creating a FALA Connect account and must keep your account information current.

You are responsible for maintaining the confidentiality of your username, password, and other account credentials. You are also responsible for all activity that occurs under your account.

FALA Connect courses are intended primarily for adult learners and professionals working in or preparing to work in assisted living, adult family care homes, senior care, and related fields.

You may not create an account using false information, impersonate another person, or create an account for another individual without authorization.

FALA reserves the right to suspend or terminate an account if we reasonably believe that the account has been used in violation of these Terms.

2. Course Enrollment and Access

When you purchase or enroll in a FALA Connect course, FALA grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the course materials for your own educational and professional development purposes.

Unless otherwise stated on the applicable course description or enrollment information, course access is provided for the period specified by FALA at the time of purchase or enrollment.

Course access may be subject to completion requirements, enrollment periods, expiration dates, prerequisites, or other conditions identified for a particular course.

Your course access is intended solely for you. You may not share your account credentials or permit another person to access a course purchased or assigned to you.

FALA may update, modify, replace, or discontinue portions of a course when reasonably necessary, including to reflect changes in laws, regulations, professional standards, or educational content.

3. Educational and Regulatory Disclaimer

FALA Connect courses are provided for educational, training, continuing education, and professional development purposes.

Although FALA makes reasonable efforts to ensure that course information is accurate and current, FALA does not warrant that all course content will always reflect the most current laws, regulations, rules, guidance, interpretations, or regulatory requirements.

Information presented through FALA Connect should not be considered legal, medical, financial, accounting, or other professional advice.

Users are responsible for determining how applicable laws, regulations, licensing requirements, and professional standards apply to their individual circumstances.

Completion of a FALA Connect course does not, by itself, guarantee employment, licensure, certification, regulatory approval, successful examination results, or any particular professional outcome.

Where a course is intended to satisfy a specific regulatory or continuing-education requirement, FALA will identify the applicable requirement to the extent reasonably known at the time the course is offered. Users remain responsible for confirming their individual eligibility and compliance requirements with the applicable regulatory authority.

4. Course Completion and Certificates

Certain courses may provide a certificate of completion, continuing education documentation, or other evidence of course participation.

Requirements for receiving a certificate or completing a course may vary by course and may include completing required lessons, examinations, quizzes, attendance requirements, or other activities.

FALA reserves the right to withhold or revoke a certificate or completion documentation if it determines that a user did not satisfy the applicable course requirements or violated these Terms.

A certificate of course completion does not necessarily constitute a professional license, certification, credential, or regulatory approval unless expressly stated by FALA.

5. Payments and Purchases

Course prices are displayed on FALA Connect at the time of purchase and may change from time to time.

By submitting an order, you authorize the applicable payment provider to charge the payment method provided for the amount displayed at checkout, together with any applicable taxes or fees.

FALA reserves the right to correct pricing or other errors and, where appropriate, to cancel or refund an order affected by such an error.

Refunds and Cancellations

Refund eligibility is subject to FALA's refund policy applicable to the course purchased.

If a refund is approved, the refund will generally be issued to the original payment method unless otherwise agreed by FALA.

6. Intellectual Property

All content made available through FALA Connect, including but not limited to:

• Course videos and presentations
• Written materials and course lessons
• Downloadable documents and resources
• Graphics, photographs, illustrations, and designs
• Practice examinations and questions
• Assessment materials
• FALA Connect branding, logos, and trademarks
• Text, audio, and other educational content

is owned by FALA, its licensors, instructors, or other applicable rights holders and is protected by applicable copyright, trademark, and other intellectual property laws.

Your enrollment in a course does not transfer ownership of any course materials to you.

Except as expressly permitted by FALA, you may not copy, reproduce, distribute, publish, transmit, sell, license, sublicense, modify, publicly display, publicly perform, or create derivative works from FALA Connect course materials.

7. Prohibited Use

You agree not to:

• Share your FALA Connect account or course access with another person.
• Copy, reproduce, record, download, or redistribute course content except where FALA expressly permits such activity.
• Sell, resell, sublicense, or commercially exploit course materials.
• Upload or transmit content that infringes another person's intellectual property or other rights.
• Attempt to circumvent course completion requirements or examinations.
• Use automated systems, bots, scraping tools, or similar technology to access or extract course content without FALA's written permission.
• Attempt to gain unauthorized access to FALA Connect or another user's account.
• Interfere with the operation or security of the platform.
• Use FALA Connect for any unlawful purpose.
• Misrepresent your identity or course participation.

8. Practice Exams and Assessment Materials

Certain FALA Connect courses may include practice examinations, sample questions, quizzes, or other assessment materials.

These materials are provided to support learning and preparation. They are not necessarily actual examination questions and should not be interpreted as a guarantee of performance on any licensing, certification, or regulatory examination.

Unauthorized reproduction, sharing, publication, or distribution of examination and practice-examination materials is prohibited.

9. User Conduct

Users are expected to interact with FALA Connect and other participants professionally and respectfully.

FALA may restrict, suspend, or terminate access to the Services if a user engages in abusive, threatening, fraudulent, unlawful, disruptive, or otherwise inappropriate conduct.

10. Third-Party Services

FALA Connect is hosted and supported through third-party technology providers, including Thinkific and payment-processing providers.

Use of FALA Connect may therefore involve third-party services, websites, links, or applications that are subject to their own terms and privacy policies.

FALA is not responsible for the availability, security, content, policies, or practices of third-party services except to the extent required by applicable law.

11. Privacy

FALA's collection, use, storage, and disclosure of personal information is governed by the FALA Connect Privacy Policy.

By using FALA Connect, you acknowledge that you have had an opportunity to review the Privacy Policy.

12. Platform Availability

FALA makes reasonable efforts to keep FALA Connect available and functioning properly. However, FALA does not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

Access may occasionally be unavailable because of maintenance, upgrades, technical problems, third-party service interruptions, or circumstances beyond FALA's reasonable control.

FALA may modify, suspend, or discontinue portions of FALA Connect when reasonably necessary.

13. Account Suspension and Termination

FALA may suspend or terminate your access to FALA Connect if:

• You violate these Terms;
• You engage in fraudulent or unlawful activity;
• You share or improperly distribute course access or materials;
• Your payment is reversed, disputed, or otherwise not received;
• Your conduct threatens the security or operation of the platform; or
• FALA is otherwise required to do so by law.

Upon termination, your right to access FALA Connect and applicable course materials may immediately end.

Termination does not eliminate any obligations that by their nature should survive termination, including intellectual property protections, disclaimers, limitations of liability, and indemnification obligations.

14. Disclaimer of Warranties

To the fullest extent permitted by applicable law, FALA Connect and its content are provided on an "AS IS" and "AS AVAILABLE" basis.

FALA makes no warranties, express or implied, regarding the availability, accuracy, completeness, reliability, suitability, or timeliness of the Services or course materials.

FALA does not warrant that use of FALA Connect will produce any particular educational, professional, licensing, employment, business, or regulatory result.

15. Limitation of Liability

To the fullest extent permitted by applicable law, FALA and its officers, directors, employees, instructors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, FALA Connect or its educational materials.

To the extent permitted by law, FALA's total liability arising from or relating to your use of the Services will not exceed the amount you paid to FALA for the specific course or service giving rise to the claim during the [12]-month period preceding the event giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

16. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FALA and its officers, directors, employees, instructors, agents, affiliates, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising out of or related to:

• Your violation of these Terms;
• Your misuse of FALA Connect;
• Your violation of applicable law; or
• Your infringement or violation of another person's intellectual property, privacy, or other rights.

17. Changes to These Terms

FALA may update these Terms from time to time to reflect changes to the Services, applicable laws, business practices, or other circumstances.

When material changes are made, FALA may provide notice through the FALA Connect website, email, account notification, or other reasonable means.

Your continued use of FALA Connect after updated Terms become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or your use of FALA Connect will be subject to the jurisdiction of the applicable state or federal courts located in Florida, unless otherwise required by applicable law.

19. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with the FALA Connect Privacy Policy and any applicable course-specific terms, refund policies, or other agreements expressly incorporated into these Terms, constitute the agreement between you and FALA regarding your use of FALA Connect.
